Introduction

Welcome to Betesda Health & Research Group LLC (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the services, deliverables, and communications provided by us to our clients, which include sponsors, contract research organizations (CROs), and clinical research sites (“you” or “Client”).
By engaging with our services, you agree to abide by these Terms.

Scope of Services

Betesda Health & Research Group LLC provides regulatory documentation support, custom source creation, SOP development, audit-readiness services, KPI dashboards, and digital ISF solutions. Our services are tailored to support clinical operations and regulatory compliance at research sites and sponsor level.

Service Engagement & Delivery

All services are initiated via manual onboarding, which includes consultation, quotation, and invoicing. No purchases are made directly through our website.
Deliverables may be provided in physical or digital formats (e.g., Google Drive, OneDrive). Specific delivery models and service timelines will be agreed upon in writing prior to engagement.

Intellectual Property

All templates, dashboards, SOPs, and other deliverables provided by Betesda Health & Research Group LLC are the intellectual property of the Company unless otherwise agreed. Clients are granted a non-exclusive, non-transferable license to use these materials solely for internal operational use.

Client Responsibilities

Clients remain solely responsible for ensuring their internal operations and clinical research practices are compliant with applicable laws, protocols, and regulatory obligations.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the course of the engagement. Information shared will not be disclosed to third parties without written consent unless required by law.

Limitation of Liability

Betesda Health & Research Group LLC is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our maximum liability is limited to the fees paid by the client for the specific service provided.

Data Handling

We do not collect or store Protected Health Information (PHI). Client project data is stored securely via platforms such as Google Drive and OneDrive, as agreed with the client. We are not a HIPAA-covered entity.

Termination

Either party may terminate the engagement with written notice, subject to any terms defined in the service agreement. Upon termination, all outstanding payments remain due.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State in which Betesda Health & Research Group LLC is registered. Any disputes shall be resolved under the jurisdiction of said state.

Amendments

We reserve the right to update or modify these Terms at any time. Updated Terms will be communicated via email or website notice, with a revised effective date.
